IN JURISDICTIONS DISALLOWING THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SILVER LAKE RESORT, LTD.'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE SLR SITE OR ANY OF THE PRODUCTS OR SERVICES MADE AVAILABLE IN CONNECTION HEREWITH OR ASSOCIATED HEREWITH, YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE TO DISCONTINUE USE OF THE SITE.

THE LIMITATIONS OF LIABILITY PROVIDED IN THESE TERMS AND CONDITIONS INURE TO THE BENEFIT OF Silver Lake RESORT, Ltd. AND ITS AFFILIATES, AND TO ALL RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, ATTORNEYS, AND AGENTS. YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS SULVER LAKE AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, AND SUPPLIERS FROM AND AGAINST ANY AND ALL CLAIMS, CAUSES OF ACTION, DEMANDS, RECOVERIES, LOSSES, DAMAGES, FINES, PENALTIES OR OTHER COSTS OR EXPENSES, OF ANY KIND OR NATURE, INCLUDING, BUT NOT LIMITED TO, REASONABLE ATTORNEYS' FEES, RESULTING FROM ANY VIOLATION BY YOU OF THESE TERMS AND CONDITIONS OR YOUR USE OF THIS SLR SITE.

ENFORCEMENT

These Terms and Conditions are for the benefit of Silver Lake Resort, Ltd. and its affiliates, its and their officers, directors, employees, affiliates, agents, licensors, and suppliers. Each of these individuals or entities shall have the right to assert and enforce these Terms and Conditions directly against you on its or their own behalf.

MISCELLANEOUS

These Terms and Conditions shall be governed by, construed and enforced in accordance with the laws of the State of Florida without regard to its conflicts of laws provisions. Any action you, any third party or Silver Lake Resort, Ltd. brings to enforce these Terms and Conditions, or in connection with any matters related to this SLR Site, shall be brought only in the State or Federal courts located in the State of Florida, and you expressly consent to the jurisdiction of said courts. If any provision of these Terms and Conditions shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity or enforceability of any remaining provisions. These Terms and Conditions (and any other terms and conditions referenced herein) constitute the entire agreement between Silver Lake Resort, Ltd., its affiliated or related entities, and you with respect to this SLR Site and your use of this SLR Site. As such, these Terms and Conditions, as modified from time to time, will be deemed to supersede any and all prior, contemporaneous or future communications and proposals, whether electronic, oral or written, between Silver Lake Resort, Ltd., its affiliated or related entities, and you with respect to this SLR Site or your use of this SLR Site. A printed version of these Terms and Conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. In the event that any inconsistencies exist between these Terms and Conditions and any future published version of these Terms and Conditions, the last published version of these Terms and Conditions shall control.
